Terms and conditions

These terms and conditions apply to all quotes, agreements and deliveries of Youri van Hogeloon, known online as Ven0mFrost, unless agreed otherwise in writing.

1. Quotes and agreements

Quotes are without obligation and valid for thirty days. An agreement is concluded as soon as you accept a quote in writing or I have started the work. Additional wishes during the project are quoted separately as additional work.

2. Execution

I carry out assignments to the best of my knowledge and ability and in accordance with the requirements of good craftsmanship. Schedules are indicative; I inform you in good time when a deadline turns out not to be feasible. You ensure timely delivery of content, access and decisions needed for progress.

3. Prices and payment

All prices are in euros and exclusive of VAT. Invoices have a payment term of fourteen days. For larger projects I work with instalment invoices, usually at the start, on delivery of intermediate results and at go-live. In case of late payment I may charge the statutory commercial interest and collection costs and suspend work.

4. Intellectual property

After full payment you receive an unlimited right of use on the software developed for you. Generic components, frameworks and tooling that I also use in other projects remain my property; for those you receive a non-exclusive, perpetual right of use within your project.

5. Warranty and maintenance

For thirty days after delivery I repair demonstrable defects in the delivered software free of charge. Further development, updates and monitoring fall under a separate maintenance agreement.

6. Liability

My liability is limited to the amount invoiced for the assignment concerned, with a maximum of the amount paid out by my insurer in the case at hand. I am not liable for indirect damage, such as lost profit or loss of data, unless there is intent or gross negligence.

7. Confidentiality and data

All information I receive in the context of an assignment is treated confidentially. For the processing of personal data we conclude a data processing agreement where necessary.

8. Applicable law

Dutch law applies to all agreements. Disputes are submitted to the competent court in the district where I am established, after we have first made a serious attempt to resolve it together.
